Our client, an independent professional services company, is seeking a Corporate Secretary professional to join their team.
This is a rare and fascinating opportunity to work across multiple jurisdictions, including Guernsey, Switzerland, Cayman, and Dubai along with key internal entities.
The role involves coordinating board meetings, maintaining statutory records, supporting communication between directors and senior management, accurately recording board decisions, and contributing to governance improvements across multiple entities.
Organising board meetings, preparing agendas, circulating board packs, and advising on the presentation and content of documentation.
Building and maintaining proactive relationships with board members, ensuring clear and timely communication across senior leadership and committees.
Accurately recording decisions, tracking actions, and ensuring communication of outcomes through regular and ad-hoc minutes.
Managing a governance improvement plan, keeping it up to date in line with board reviews.
The ideal candidate will have:
Strong technical knowledge and experience in corporate governance, ideally within a regulated setting, including familiarity with relevant legislation and governance codes.
A recognised professional qualification (e.g. ICSA/STEP Diploma) and a commitment to ongoing professional development.
Excellent written and verbal communication skills, with confidence engaging with a broad range of stakeholders.
High attention to detail and the ability to produce or review moderately complex documents with accuracy.
Analytical thinking to review procedures and contribute ideas for improvement.
The ability to manage deadlines and project timelines with minimal supervision.
Sound judgement and a practical approach to problem solving with commercial awareness.
Leadership qualities and personal integrity, with the ability to support, motivate, and develop others.
