We are exclusively retained to work on a Junior Legal Counsel role for a Single Family Office based in Dubai. Our client is seeking a legal professional to address the growing needs of the Family Office. The successful candidate will be responsible for overseeing the legal and compliance processes across the entire investment office (the “Firm”) under the supervision of the Senior Legal Counsel.

This role is a fascinating and rare opportunity to work in-house for a growing Family Office. If you have 1-2 years of post-qualification experience (PQE) and either currently live in Dubai or are interested in relocating, this could be an excellent fit for you.

Key Responsibilities:

  • Legal and Operational Due Diligence: Conduct legal and operational due diligence on fund investments, including reviewing Private Placement Memoranda (PPMs), Limited Partnership Agreements (LPAs), Due Diligence Questionnaires (DDQs), and constitutional documents. Responsible for ongoing monitoring.
  • Compliance and Risk Management: Oversee, under the Senior Legal Counsel's supervision, all legal, tax, and compliance matters relevant to the Firm and promote legal, compliance, and risk management practices.
  • Advisory Role: Support the COO alongside the Senior Legal Counsel with counsel and legal guidance.
  • Investment Documentation: Conduct legal and tax due diligence on proposed investments, including review of partnership agreements, prospectuses, Memoranda & Articles of Association (M&A), subscription documents, legal summaries, transfer agreements, and SPAs. This may involve direct interaction with fund managers as required.
  • Side Letter Negotiations: Negotiate terms of side letters with fund managers.
  • Committee Reporting: Present legal and tax reports to the Firm’s investment committee and highlight any issues beyond the risk threshold, including disclosure requirements if necessary.
  • Regulatory Compliance: Ensure the Firm and its affiliates meet all regulatory and compliance requirements in their jurisdictions of establishment.

Candidate Profile:

  • Qualifications: Qualified in a common law or civil law jurisdiction with 1-2 years PQE.
  • Experience: Demonstrated experience with private funds in investment fund management is essential for this role.
