Company Secretary (AVP)

An offshore bank with an excellent reputation is seeking a Company Secretary to support its legal and corporate governance function. The role involves coordinating and attending Board meetings, liaising with senior leadership, and ensuring all regulatory corporate governance requirements are met.

Location: This role can be either based in the United Kingdom, Guernsey or Jersey.

Key responsibilities:

• Provide recommendations to the Board on corporate governance best practice.
• Coordinate and attend Board and Committee meetings, producing accurate agendas and minutes.
• Liaise with senior leadership and directors regarding meetings and governance matters.
• Manage the on-boarding process for new Board members.
• Maintain and update Board and Committee charters and governance policies.
• Oversee regulatory corporate governance filings.
• Develop, implement and communicate governance, risk, and compliance policies.

Skills and experience required:

• Strong background in staff and operational management, ideally within the financial sector.
• Ability to work under pressure and respond to stakeholders at short notice.
• Experience operating at management level and building strong professional relationships.
• Proficiency in Microsoft Office, particularly Excel.
• Excellent written and verbal communication skills.
• Knowledge of Guernsey Company Law, data protection, and related regulations. (Advantageous).
• Willingness to undertake occasional travel.
